Referral & Introducer Terms

A Referral Partner introduces a prospective customer. The referred customer contracts directly with ALEBEX, accepts the ALEBEX legal bundle, and receives service directly from ALEBEX. The Referral Partner does not configure customer communications or receive Account access unless separately approved.

These ALEBEX AI Referral and Introducer Program Terms (the “Referral Terms”) form a binding agreement between ALEBEX AI Corp. (“ALEBEX”) and the person or entity accepted into the referral program (“Referral Partner”). Referral Partner must provide accurate identity, contact, tax, payment, website, and business information and must remain eligible under ALEBEX KYC, sanctions, fraud, and program requirements.

The appointment is non-exclusive, revocable, and limited to introductions. It does not grant a protected territory, exclusive customer segment, minimum payment, employment, franchise, partnership, agency, fiduciary relationship, or authority to bind ALEBEX. ALEBEX may work directly or indirectly with any customer or partner.

A referral is eligible only if Referral Partner registers it through the approved portal, link, code, form, or written process before the prospect enters an active ALEBEX sales or onboarding process, and ALEBEX confirms or records eligibility. ALEBEX records control referral attribution absent manifest error.

A referral is not eligible if the prospect or its Affiliate is an existing customer, former customer within the exclusion period stated in the Order Form, current prospect, active sales lead, pre-existing ALEBEX relationship, independently originated opportunity, duplicate referral, ALEBEX employee or Affiliate, sanctioned or prohibited person, fraudulent account, or otherwise excluded in the Order Form or program rules.

Referral Partner must provide accurate prospect information and must have a lawful basis to share business contact information. Referral Partner must not submit personal contact information obtained through deception, scraping, prohibited list purchase, or another unauthorized source.

ALEBEX controls sales qualification, pricing, contracting, onboarding, credit, service availability, and acceptance. ALEBEX may decline a referral or customer without liability and need not disclose confidential reasons.

Referral Partner has no right to access, administer, configure, monitor, or support a referred customer’s Account, Customer Content, communications, billing, or users unless ALEBEX and the customer separately authorize access under another agreement.

Referral Partner must not sign for a customer, accept ALEBEX terms on the customer’s behalf, collect ALEBEX fees, promise a discount or credit, quote non-public pricing without authorization, issue an invoice for ALEBEX Services, or represent that it can approve an account, country, feature, custom voice, communications use, service level, security term, legal position, or product commitment.

Referral Partner may use only current ALEBEX descriptions, links, marks, and materials approved for the program. ALEBEX may require correction or removal at any time. Referral Partner must not register domains, accounts, keywords, social handles, or marks confusingly similar to ALEBEX; misrepresent affiliation or exclusivity; make deceptive or unsubstantiated claims; or use unsolicited communications in violation of law or ALEBEX policy.

Referral Partner must not offer legal, privacy, telecommunications, security, tax, or regulatory advice on ALEBEX’s behalf or state that ALEBEX makes a customer’s campaign lawful. Referral Partner must disclose material compensation or relationship where required by law and must comply with anti-bribery, anti-corruption, sanctions, export-control, competition, privacy, advertising, and communications laws applicable to its conduct.

Referral Partner earns commission only as stated in an accepted Partner Order Form, portal record, or written program offer. The record must state the percentage or amount, eligible products or revenue, customer, attribution period, commission period, payment timing, currency, and any minimum or threshold.

Unless expressly stated otherwise, commission is calculated on Net Collected Service Revenue actually received and retained by ALEBEX from the qualified referred customer. Net Collected Service Revenue excludes taxes, government charges, refunds, credits, chargebacks, disputes, bad debt, fraud, uncollected amounts, promotional credits, professional services, hardware, and provider or carrier pass-through charges designated by ALEBEX.

Commission is earned only after ALEBEX receives cleared customer payment and the applicable refund, fraud, dispute, and chargeback review period has passed. ALEBEX may offset or claw back commission paid on revenue later refunded, credited, charged back, disputed, found fraudulent, or not retained.

Referral Partner is responsible for its taxes and for providing invoices, tax numbers, residency forms, bank information, and other payment documentation ALEBEX reasonably requests. ALEBEX may withhold amounts required by law and may suspend payment while identity, tax, fraud, or attribution information remains incomplete.

No commission is payable for free use, testing minutes, internal ALEBEX accounts, taxes, credits, waived charges, non-cash consideration, or revenue outside the stated attribution or commission period. Customer non-payment creates no ALEBEX payment obligation to Referral Partner.

Referral Partner must protect non-public ALEBEX information, including pricing, product plans, customer status, referral records, credentials, security information, and program terms, and use it only for the referral program. Referral Partner must not disclose customer information except as authorized by the customer, ALEBEX, and applicable law.

Each party acts independently for personal information it controls. Referral Partner must provide its own notices and lawful basis for collecting and sharing prospect information. Referral Partner must promptly notify ALEBEX of a privacy, security, fraud, bribery, sanctions, or impersonation concern connected to a referral.

ALEBEX may retain referral attribution, acceptance, payment, tax, fraud, and program records for the active relationship and a period reasonably required for accounting, tax, audit, dispute, fraud, and legal purposes.

These Referral Terms begin when accepted and continue until terminated. Either party may terminate on thirty days’ notice. ALEBEX may suspend or terminate immediately for fraud, deception, prohibited marketing, sanctions concern, misuse of marks, unauthorized commitments, privacy or security breach, invalid tax or identity information, customer harm, or material breach.

Post-termination commission is payable only if the Partner Order Form expressly grants a tail and only for qualified revenue within the stated tail period. Any tail remains subject to eligibility, customer payment, exclusions, offsets, fraud review, and clawback. No new referral is eligible after termination.

Referral Partner will defend, indemnify, and hold harmless ALEBEX, its Affiliates, and their directors, officers, employees, contractors, licensors, service providers, and representatives from claims, investigations, losses, fines, penalties, liabilities, settlements, costs, and reasonable legal fees arising from Referral Partner’s marketing, communications, privacy or advertising violations, prospect information, unauthorized promises, taxes, fraud, bribery, misuse of ALEBEX marks or confidential information, or breach of these Referral Terms.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALEBEX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR MULTIPLE DAMAGES; LOST COMMISSION, PROFITS, REVENUE, OPPORTUNITY, GOODWILL, DATA, OR ANTICIPATED SAVINGS; OR A CUSTOMER’S DECISION NOT TO PURCHASE OR CONTINUE SERVICES.

Except for liability that cannot lawfully be limited, ALEBEX’s aggregate liability under the referral relationship will not exceed the commission actually paid to Referral Partner during the six months immediately before the event first giving rise to liability. Referral Partner’s indemnity, confidentiality, privacy, fraud, wilful-misconduct, tax, mark-misuse, and unauthorized-commitment obligations are not limited by that cap.

British Columbia and applicable federal Canadian law govern. The parties submit to the exclusive courts in Vancouver, British Columbia, except ALEBEX may seek urgent protective, collection, or enforcement relief elsewhere. Electronic acceptance, portal attribution, and electronic records are valid evidence.
