This acknowledgment is designed for a business organization that receives ALEBEX-powered functionality through an approved Platform Partner. The Platform Partner remains the commercial provider and billing party. ALEBEX receives direct enforcement rights for the protective clauses below.

Role of the parties

This ALEBEX AI Authorized Organization and Platform Use Acknowledgment (the “Acknowledgment”) is accepted by the business, organization, sole proprietorship, or other entity identified in the Platform Partner’s onboarding flow (“Authorized Organization”). The person accepting represents authority to bind the Authorized Organization and that the information provided is complete and accurate.

The approved platform or vendor partner (“Platform Partner”) provides the customer-facing service, manages the commercial relationship, sets or communicates pricing, invoices the Authorized Organization, and provides first-line support. ALEBEX AI Corp. (“ALEBEX”) supplies underlying voice, communications, API, workflow, platform, and related technology to Platform Partner.

Unless ALEBEX separately agrees in writing, this Acknowledgment does not make ALEBEX the Authorized Organization’s seller, billing provider, support provider, agent, fiduciary, adviser, or contracting party for Platform Partner’s commercial service. The Authorized Organization must direct pricing, refund, service-scope, and first-line support inquiries to Platform Partner.

Authorized use and organization responsibility

Authorized Organization may use the ALEBEX-powered functionality made available through Platform Partner only for its lawful business or professional purposes, within enabled features, countries, limits, and documentation, and according to this Acknowledgment and the ALEBEX Acceptable Use Policy, AI Voice and Customer Communications Policy, and Service and Country Requirements made available in the onboarding flow.

Authorized Organization is responsible for its administrators, users, instructions, data, scripts, prompts, knowledge, recipients, lists, contact sources, offers, products, workflows, settings, and every action taken through its organization. It must protect access credentials, use unique user accounts, apply least privilege, and notify Platform Partner and ALEBEX promptly of suspected unauthorized access or misuse.

Authorized Organization must not resell, sublicense, transfer, provide multi-level access, appoint a sub-reseller, disclose API credentials, or make the ALEBEX-powered functionality available to another business except through Platform Partner’s expressly approved model.

Customer communications and data authorization

Authorized Organization is solely responsible for determining whether and how it may lawfully call, message, email, record, transcribe, analyze, route, or otherwise communicate with a Recipient. This includes contact source, consent or other lawful basis, caller and sender identity, scripts and offers, calling hours, artificial or prerecorded voice rules, AI or automation disclosure where required, recording and transcription notice, opt-out, suppression, do-not-call and anti-spam requirements, complaints, human escalation, and recordkeeping.

Authorized Organization represents and warrants that it has all rights, notices, permissions, legal bases, and authorizations required for Platform Partner, ALEBEX, and their service providers to receive, host, process, call, message, record, transcribe, summarize, analyze, store, return, and delete its data and outputs according to its instructions and the applicable agreements.

Authorized Organization must retain relevant communications, consent, contact-source, opt-out, custom-voice, caller-identity, complaint, and authorization evidence for at least five years or longer where required by law, and must provide reasonable evidence promptly on Platform Partner or ALEBEX request.

If Authorized Organization enables a custom or likeness-based voice, it represents that it has legally sufficient permission from the person or rights holder for creation and intended use, will remain within that permission, and will not use the voice for deception, false authority, fraud, unauthorized impersonation, or authentication circumvention.

Acceptable use, security, and ALEBEX protective rights

Authorized Organization must not use the service for fraud, scams, phishing, social engineering, unlawful spam or telemarketing, deceptive impersonation, unauthorized caller identification, harassment, credential collection, illegal activity, prohibited data, restricted sectors without approval, or any other use prohibited by the ALEBEX policies or applicable law.

ALEBEX and Platform Partner may monitor operational information and may request evidence, impose limits, disable a number, voice, workflow, campaign, country, user, credential, or organization, or suspend or terminate access where they reasonably identify legal, fraud, sanctions, security, payment, privacy, carrier, provider, customer, recipient, or service-integrity exposure.

Authorized Organization must cooperate with a reasonable investigation and must promptly stop or remediate activity when directed. Operational enablement or continued service is not legal advice or a certification that a communication, list, voice, script, or workflow is lawful.

Intellectual property, disclaimers, and liability

ALEBEX and its licensors retain all rights in the underlying Services, APIs, software, models, model weights, configurations, system prompts, orchestration, workflows, documentation, security controls, analytics, improvements, and other ALEBEX intellectual property. Authorized Organization receives no licence except the limited right to use enabled functionality through Platform Partner.

Authorized Organization must not reverse engineer, decompile, disassemble, extract prompts or models, circumvent controls, publish non-public benchmarks, use ALEBEX proprietary information or outputs to train or improve a competing platform, remove proprietary notices, or access non-public interfaces without authorization.

AI output may be inaccurate, incomplete, delayed, inconsistent, or unexpected. Authorized Organization must use appropriate human review and must not rely on output as the sole basis for a high-impact, safety-critical, or regulated decision. To the maximum extent permitted by law, ALEBEX provides no direct warranty, service level, credit, refund, or indemnity to Authorized Organization under this Acknowledgment.

To the maximum extent permitted by law, ALEBEX is not liable to Authorized Organization for indirect, incidental, special, consequential, exemplary, punitive, or multiple damages or for lost profits, revenue, customers, opportunity, goodwill, data, or anticipated savings. If ALEBEX has direct liability to Authorized Organization that cannot be excluded, ALEBEX’s aggregate liability will not exceed the fees actually paid by Platform Partner to ALEBEX and reasonably attributable to Authorized Organization for the affected service during the six months before the event first giving rise to liability.

ALEBEX is an intended third-party beneficiary of Sections 2 through 6 and may enforce them directly. Authorized Organization will indemnify ALEBEX and its service providers for claims arising from Authorized Organization’s data, communications, recipients, products, scripts, lists, unauthorized voices, privacy or communications violations, fraud, misuse, or breach.

Acceptance, updates, governing law, and contact

This Acknowledgment is accepted by an unchecked electronic checkbox or equivalent affirmative action. The accepting person represents authority to bind Authorized Organization. Platform Partner and ALEBEX may retain the organization, user, authority, version, timestamp, IP or session, and related records as evidence.

ALEBEX may update incorporated policies under their stated process. Platform Partner may require reacceptance after a material change. Authorized Organization may stop using the ALEBEX-powered functionality if it does not accept an update, subject to its separate commercial agreement with Platform Partner.

British Columbia and applicable federal Canadian law govern. Authorized Organization submits to the exclusive courts in Vancouver, British Columbia, except ALEBEX may seek urgent protective or enforcement relief elsewhere. Questions about ALEBEX acceptable use or abuse may be sent to abuse@alebex.ai; privacy questions may be sent to compliance@alebex.ai; other service and billing inquiries must be directed to Platform Partner.
